On behalf of our client, EcoPoxy Inc., we are recruiting for a Corporate Paralegal to join their team in the Winnipeg office. EcoPoxy Inc. is a manufacturing and distributing company committed to creating, manufacturing, and distributing bio-based epoxies made from annually renewable resources and offers the world an alternative to traditional epoxy resins made from fossil fuels. They offer natural bio-based epoxies that empower their clients to imagine the possibilities and create masterpieces out of waste materials. Because of this, EcoPoxy products offer the safest and best epoxies to use to build a river table and other wood projects.

EcoPoxy Inc. is seeking an experienced and senior Corporate Paralegal who will assist with all facets of the corporation's legal requirements. They may attend corporate meetings, prepare corporate resolutions, annual minutes, annual returns, and support other corporate legal engagements. We are seeking a dynamic individual who has strengths in attention to detail, organization, multitasking, and working with legal information to ensure successful company performance. This legal role will appeal to a confident professional with excellent interpersonal and communication skills and drive to achieve results.

KEY RESPONSIBILITIES

- Assist the CEO in coordinating the company and related companies’ legal requirements
- Update and maintain minute books and corporate records for the corporation and related entities and prepare corporate documents required for the minute books
- Draft, file and manage various business documents for the corporation
- Create and maintain a document database of all agreements and legal documents for the corporation, including intellectual property documents and certificates
- Draft legal contracts, employment contracts, non-disclosure agreements, correspondence, and other documents
- Conduct and review public office searches, including Personal Property Registry, Land Titles Offices, and Companies Office
- Attend to online filings with corporate registries and offices
- Liaise with external counsel on legal matters
- Provide administrative support for documents and activities related to corporate restructurings, such as mergers, formations, and dissolutions
- Work with other members of the legal team on special projects and initiatives
- Update leadership with timely analysis and summaries of new regulations affecting the business
- Oversee the company’s Domain names, MAP Policy (Minimum advertised price), Trademarks and associated renewal dates and Patent dates
- Maintain the intellectual property portfolio

Qualifications

- Have a Paralegal Certificate, Degree or Diploma from an accredited educational institution, or equivalent experience, and be in good standing with The Law Society of Manitoba
- Minimum of eight to ten years' experience in corporation law and procedures
- Strong attention to detail with a high level of accuracy
- Professional written and verbal communication skills
- Ability to work independently in an environment that requires multitasking and setting priorities to meet deadlines
- Ability to work cross-functionally within the company
- Be proactive and able to identify issues, legal risks and potential liabilities
- Proficiency in Microsoft Office Suite
